CONSTITUTION
ARTICLE I:
NAME
The name of this
association shall be California Forestry 25-Year Club.
ARTICLE II:
OBJECTIVES
The objectives of
this association are as follows:
1. To
provide a means of fellowship, communication, and understanding among the
Members of the association.
2.
To foster and promote a continued active interest and participation in
the field of
natural
conservation on the part of all members of the association.
3.
To promote and provide for the welfare and interests of the actively
employed and
retired
members of the association.
4.
To communicate with members of the association on matters of legislation
that
pertain
to Objective Number 3.
5.
To provide for a means of communication between other twenty-five year
clubs or
associations.
BY-LAWS
ARTICLE I:
MEMBERSHIP AND DUES
Membership in this association
shall consist of four (4) classes: Active, Honorary, Associate Life and
Associate.
Active
Members
Section 1. Any
person, retired, having twenty-five (25) years State service and
completing
said service with the California Department of Forestry may become a
member
of this association.
Section 2. Any
person, actively employed by the Department of Forestry, with twenty-
five (25) years of
State service may become a member.
Section 3.
Evidence of eligibility shall be the receipt of or eligibility for, 25
years of
State service award. Eligibility for membership will be the year
in which the person
is eligible for
said award.
Section
4. All active members
shall be entitled to one (1) vote each at meetings of
The association, or by mail, if so provided. Active members shall be eligible to hold
office of
this association.

Honorary Members
Section 5. Honorary members shall be such individuals
chosen from those working
within
the field of forestry, or other related branches of conservation, public
service,
or industry, in
recognition of outstanding service.
Section 6. Nominations
for Honorary Membership shall be referred to the Board of
Directors
for their consideration and recommendation to the membership of the
association
for election thereto.
Section 7.
Honorary members shall be exempt from payment of annual dues. They
shall not be
entitled to vote nor hold office in the association.
Associate
Life Members and Associate Members
Section 8. In the event of the death of an active
Member, the surviving spouse may
become
an Associate Life Member of this association, unless the Board of
Directors
formally vote to the contrary. The
Secretary-Treasurer shall issue the
invitation
to the spouse eligible for Associate Life membership. Associate Life Members shall be ineligible to
vote or to hold office.
Section 9. Any person, who upon retirement, has less
than twenty-five (25) years
service
with the Department of Forestry, may become an Associate Member of this
association,
upon request of an association member in good standing and approval
by the Board of
Directors. Associate Members shall be
ineligible to vote or to hold
office.
Dues
Section 10.
Annual dues shall be three (3) dollars for each Active and Associate
member. Associate Life members shall pay no annual
dues.
Section 11.
Dues shall be due and payable at the time of each year's annual
meeting.
Membership
rights shall be subject to forfeiture upon failure to pay annual dues
after the annual
meeting date, in accordance with terms of prevailing Board policy.
ARTICLE II:
BOARD OF DIRECTORS
Section 1. The Board of
Directors shall consist of the President, Vice President,
Secretary-Treasurer, Junior Past President, and three
Directors.
Section 2. Any
vacancy among the officers, whether occasioned by death,
resignation,
or other cause, may be filled for the remainder of the year by the
Board of Directors. Any additional unexpired term of a Director
will be filled
at the next annual election.

Section 3. The
Board of Directors will meet on call by the President or by written
request
of any three members of the Board.
ARTICLE III:
OFFICERS
Section 1. The officers of the association shall be a
President, Vice President, Junior
Past President, and a Secretary-Treasurer. Officers of the
Association, excluding
the Junior Past
President, shall be elected annually at a regular meeting called by
the President or
the Board of Directors or by mail ballot.
Section 2. The
President becomes the Junior Past President upon the
installation
of the incoming President.
Section 3. One
Director will be elected annually to serve a three (3) year term.
ARTICLE IV:
DUTIES OF OFFICERS
Section 1. The
President shall be the Chairman of the Board of Directors and shall
preside
at all meetings of the association and the Board of Directors. In the
absence
of the President, the Vice President shall preside. In the absence of both
the President and
Vice President, the Junior Past President shall preside.
Section 2. The
Vice President shall perform such duties as assigned by the President
and shall sit for
the President in the President's absence.
Section 3. The
Secretary-Treasurer (S-T) shall keep minutes of all meetings of the
association
and Board of Directors and shall have custody of all funds of the
association
and shall make an annual financial report to the membership. The S-T
shall keep a list
of the members with their addresses and shall notify members of
the association
of the time and place of all general meetings.
The S-T also shall
notify
the Directors of all scheduled meetings of the Board of Directors.
Section 4. All stationery,
record books and supplies, including computer support
supplies,
necessary for the conduct of association business, shall be provided to
the S-T, at the
expense of the association.
Section 5. The
S-T shall receive, annually, the sum of three hundred dollars ($300.00)
for services
rendered and to pay for the hiring of clerical assistance.
Section 6.
Members of the Board of Directors shall be reimbursed for expenses
incurred
in the attendance of Board meetings, not to exceed fifty dollars ($50.00),
with the exception
of the Board meeting held in connection with the regular annual
meeting.

Section 7. The
Board of Directors shall be the agent of the association for the conduct
of all business.
Section 8. Any officer or
Director may be removed from office for cause by majority
vote of the Board
of Directors present at an official meeting.
ARTICLE V:
MEETINGS
Section 1.
Meetings shall be held annually by call of the President.
Section 2. All
dinner meetings shall be designated as "no host” affairs.
Section 3.
Notice of the annual meeting and any special meeting of the association
shall be sent to
the membership by the Secretary-Treasurer.
Section 4. The
presence of twenty-five (25) members of the association shall
constitute
a quorum.
Section 5.
Four members of the Board of Directors shall constitute a quorum.
Section 6.
Amendments to the approved constitution and by-laws shall be made by a
majority
vote of the active paid membership voting or in attendance at an official
meeting.
Section 7. Each
member has the privilege to invite a guest(s) to the annual dinner
meeting. The expenses surrounding such invitee(s)
shall not be considered as a
charge
against the association treasury unless specifically authorized by the
President.
Section 8.
Actions of this association will be governed by Roberts Rules of Order,
Revised,
except in instances which may conflict with the constitution and by-laws of
this association.

Gender-Neutral substitutions plus revisions

Sections 4 and 5, adopted by voice vote at the
general
membership meeting of
Retired State Fire Marshall's employees
with 25 years of service prior to
merger with CDF
to be classed as Honorary Members. This
recommendation
of the
appointed "Membership Clauses Committee” was approved by the
Board at its
Motions 4-97-1, 4-97-2 and 4-97-3,
originally submitted by the Secretary-Treasurer at
the April 13,
1997 Board meeting, were considered at the
meeting. 4-97-1 rescinds the earlier motion to
classify SFM employees with 25 years
service and
retired prior to the CDF-SFM merger as Honorary employees, and
reinstated the
policy that Honorary Members shall pay no dues.
4-97-2 sets
continuing
policy, based on prior Boards actions with respect to employees of FPDs,
service areas,
etc., annexed or absorbed by CDF, that any such employees retired
prior to said
annexation and with 25 years of service, shall be eligible to become
regular Club members. More specifically, such SFM employees are so
covered. 4-
97-3 is essentially the same as 4-97-2
but deals with employees retiring with less
than 25 years
service and affirms their eligibility to be elected to Associate

The Board approved a technical correction
to Article I, Section 9 at the January
14, 1998 meeting. When the Secretary-Treasurer drafted the
revision, he
unintentionally
left out the clause that "Associate Members shall be ineligible to vote
or to hold
office.” The Board's action approves
